This subject covers a range of legal topics relating to the business environment. It combines topics that are necessary for a consideration of business and corporate law including:<ul><li>an introduction to legal systems; </li><li>contract law principles (including breaches and disputes);</li><li>varied business structures, </li><li>the law of agency, competition and consumer law; and </li><li>basic corporate law and governance principles. </li></ul>The subject teaches students how to work through commercial disputes by identifying and addressing the relevant legal issues. These are essential skills for those wishing to work in both the fields of accounting and business management.

The subject aims to provide students with a solid foundation of fundamental principles of company law. Topics include: the context of company law, the role and functions of the Australian Securities and Investments Commission, types of business structures, incorporation and registration, the doctrine of legal personality, corporate fund raising and share capital, legal rules relating to shares and dividends, the internal management of companies, powers and duties of various stakeholders, rights and remedies of members, company insolvency and deregistration.

Company Law for Business

This subject provides students with an overview of the Australian legal system as it pertains to commerce and management. It also provides detailed knowledge in the area of contract law and a knowledge of the law as it applies to torts, particularly professional negligence and to partnership. Students should not enrol in this subject if they have previously completed 2105AFE: Introduction to Business Law at Griffith University.

This subject is available to non-law students only and provides a comprehensive introduction to the legal principles for commercial associations with an emphasis on corporations. You will explore a wide range of topics including sole traders, partnerships and the law of agency, trusts (discretionary, unit, and hybrid) and joint ventures as well as superannuation entities, the function and structure of companies, corporate governance, member&#39;s rights and corporate liability. Additionally, you will examine corporate finance, takeovers and schemes of arrangement, financial records, financial reporting and audit requirements and companies in distress. In doing so, you will build a broad understanding of the nature and scope of corporation law, as well as your critical thinking and legal reasoning skills.

Principles of Corporation Law

This subject is available to all students, other than Bachelor of Laws students, subject to degree rules.  This subject will introduce you to the legal principles relating to business and commercial relationships and covers a wide range of topics and approaches to examine real-world business law issues.  The subject explores the Australian legal system and business structures, an overview of the law of torts, negligence and negligent misstatement, contracts, consumer law, electronic commerce, finance law and bankruptcy, and insurance law.  In doing so, you will learn how legal principles affect business practice and decision making and apply the knowledge to a wide range of career paths.

This subject provides insights into the legal principles applicable to companies, focusing on the analysis of the Corporations Act 2001 (Cth) and the study of relevant case law.  You&#39;ll explore topics such as partnership law, agency law, corporate personality, company incorporation and its consequences, plus the company&#39;s constitution, financing of companies and corporate governance rules for the management of companies.  To extend your knowledge, you&#39;ll learn about corporate directors’ and officers&#39; duties and liabilities, shareholders&#39; meetings, the principle of the majority rule and the minority protection, and shareholders’ rights and remedies.  You&#39;ll also develop a nuanced understanding of fundraising through disclosure, regulation of securities and financial services, companies in distress and the winding up of companies.  Whether you&#39;re planning a career in law, business or management, or seeking specialist knowledge in the field, this subject is a comprehensive and flexible offering.
