This subject is for non-law students only. It provides foundational knowledge of the Australian legal system and legal principles for business organisational structures and their underlying regulation. Topics include the Australian legal system and business law, structures and corporate governance, member’s rights and remedies, corporate finance and liability, companies in distress, external administration, financial services law and more. You&#39;ll focus on the legal framework for the provision of financial advice and financial products and requirements and obligations of the Australian financial services licensees under Chapter 7 of the Corporations Act 2001 (Cth). You&#39;ll grasp the use of statute and case law in analysing commercial relationships, and gain skills in finding relevant law using legal libraries. These skills are vital in many professions, such as executives, auditors, accountants, management consultants, financial planners/advisers, administrators, and teachers.

Issues in Commercial and Financial Services Law

This subject examines the fundamental principles of income tax law, including capital gains. You will gain an understanding of the workings and implications of the Income Tax Assessment Act 1997 and cognate legislation such as the Taxation Administration Act 1953 and the Fringe Benefits Tax Assessment Act 1986. This subject will help you to understand the complexities of how taxation law operates – including the working of the goods and services tax under A New Tax System (Goods and Services Tax) Act 1999. You will also explore the principles of statutory interpretation, while developing your legal research, writing and critical thinking skills to benefit your ongoing professional development.

Taxation Law

This subject is available to non-law students only and provides a comprehensive introduction to the legal principles for commercial associations with an emphasis on corporations. You will explore a wide range of topics including sole traders, partnerships and the law of agency, trusts (discretionary, unit, and hybrid) and joint ventures as well as superannuation entities, the function and structure of companies, corporate governance, member&#39;s rights and corporate liability. Additionally, you will examine corporate finance, takeovers and schemes of arrangement, financial records, financial reporting and audit requirements and companies in distress. In doing so, you will build a broad understanding of the nature and scope of corporation law, as well as your critical thinking and legal reasoning skills.

Principles of Corporation Law

This subject equips you with foundational knowledge of the Australian legal system and the administration of the law. You will gain a comprehensive overview of the Australian legal system, the Australian judicial system, common law and equity as well as case law and precedent, legislation, statutory interpretation, legal research and legal writing. You will also explore criminal law, white collar crime, real property, personal property and intellectual property.

Commercial Law I: Principles of Australian Law

This subject is available to all students, other than Bachelor of Laws students, subject to degree rules.  This subject will introduce you to the legal principles relating to business and commercial relationships and covers a wide range of topics and approaches to examine real-world business law issues.  The subject explores the Australian legal system and business structures, an overview of the law of torts, negligence and negligent misstatement, contracts, consumer law, electronic commerce, finance law and bankruptcy, and insurance law.  In doing so, you will learn how legal principles affect business practice and decision making and apply the knowledge to a wide range of career paths.

Introduction to Business Law

This subject was previously known as Taxation Law.This subject builds upon foundational Australian taxation law knowledge and equips you with an advanced understanding and mastery of the legislation and procedures for tax compliance.  You will examine a range of topics including fringe benefits taxation, goods and services taxation, taxation of superannuation entities and special taxpayers as well as tax losses.  You will also explore issues in tax avoidance and evasion, the ethical and professional obligations of tax advisers and agents and tax administration. In doing so, you will develop your legal reasoning and research skills and be equipped with contemporary skills to meet challenges in a complex and ever-changing field.

Advanced Taxation Law

This subject provides insights into the legal principles applicable to companies, focusing on the analysis of the Corporations Act 2001 (Cth) and the study of relevant case law.  You&#39;ll explore topics such as partnership law, agency law, corporate personality, company incorporation and its consequences, plus the company&#39;s constitution, financing of companies and corporate governance rules for the management of companies.  To extend your knowledge, you&#39;ll learn about corporate directors’ and officers&#39; duties and liabilities, shareholders&#39; meetings, the principle of the majority rule and the minority protection, and shareholders’ rights and remedies.  You&#39;ll also develop a nuanced understanding of fundraising through disclosure, regulation of securities and financial services, companies in distress and the winding up of companies.  Whether you&#39;re planning a career in law, business or management, or seeking specialist knowledge in the field, this subject is a comprehensive and flexible offering.

Corporations Law

This subject offers a comprehensive insight into equity and trusts, as well as the opportunity to develop your legal research and communication skills.  It covers a broad range of topics including equitable property issues, fiduciary duties, estoppel and assignment in equity, confidential information, equitable remedies and miscellaneous doctrines.  You will also examine resulting, constructive and charitable trusts, including the duties of trustees and the rights of beneficiaries.  Moreover, you will examine the nature of, and the reasons for, the development of an equitable jurisdiction distinct from the common law, with an emphasis on the remedial aspects of equity and trusts.  Additionally, you will examine the role of equity in contemporary legal developments in judicial law.

Equity and Trusts

This subject is designed to provide you with a comprehensive introduction to the fundamentals of international trade law and institutions. The main emphasis is on the global perspective of international trade, including its transactional aspects. You will explore a range of topics including the sources, theory and policy of international trade and investment law, as well as the fundamental principles of the WTO and rules governing commercial transactions.

Study the theory and policy that frames international trade law, including principles of the World Trade Organisation, and consider their impact. Learn the rules that govern commercial transactions. Persuade, argue and analyse in the field.

International Trade Law

This is an advanced subject of study that delves further into individual issues within employment law. You will examine a variety of social issues from a legal perspective. These include the development of Australian employment law, unionisation within and casualisation of the Australian workforce, the notions of &#39;employee&#39; and &#39;contractor&#39; and alternative modes for the performance of work and their regulation and implied terms, as well as the scope of employer and employee duties. You will also explore the distribution of opportunity at work, including employee entitlements, leave arrangements and anti-discrimination, as well as legal regimes that promote work-life balance and issues surrounding termination of employment at common law and statute. Throughout, you will build transferable critical thinking, legal reasoning and analytical skills.
