The Master of Laws in Enterprise Governance is a postgraduate program offered by the Faculty of Law. The program is designed for directors and officers as well as for legal professionals with an interest in enterprise governance and leadership. Students enrolled in the program learn about the nature and operation of enterprise governance and the role of the board in leading enterprises in today&#39;s challenging business environment – including both for-profit and not-for-profit enterprises – and learn how to govern an enterprise in compliance with the relevant legal rules and ethical principles. All subjects in the program are delivered using a combination of online modules and intensive workshops, and all assessment tasks are constructively aligned and authentic.

Fundamentals of Australian Tax Law

This subject is for non-law students only. It provides foundational knowledge of the Australian legal system and legal principles for business organisational structures and their underlying regulation. Topics include the Australian legal system and business law, structures and corporate governance, member’s rights and remedies, corporate finance and liability, companies in distress, external administration, financial services law and more. You&#39;ll focus on the legal framework for the provision of financial advice and financial products and requirements and obligations of the Australian financial services licensees under Chapter 7 of the Corporations Act 2001 (Cth). You&#39;ll grasp the use of statute and case law in analysing commercial relationships, and gain skills in finding relevant law using legal libraries. These skills are vital in many professions, such as executives, auditors, accountants, management consultants, financial planners/advisers, administrators, and teachers.

Issues in Commercial and Financial Services Law

This subject examines the fundamental principles of income tax law, including capital gains. You will gain an understanding of the workings and implications of the Income Tax Assessment Act 1997 and cognate legislation such as the Taxation Administration Act 1953 and the Fringe Benefits Tax Assessment Act 1986. This subject will help you to understand the complexities of how taxation law operates – including the working of the goods and services tax under A New Tax System (Goods and Services Tax) Act 1999. You will also explore the principles of statutory interpretation, while developing your legal research, writing and critical thinking skills to benefit your ongoing professional development.

Taxation Law

This subject was previously &#39;Australian Tax Law&#39;.This subject introduces students to the core concepts in Australian taxation and identifies the framework (both legal and administrative) behind those concepts. The knowledge gained through this exploration enables the application of the framework to current issues faced by individuals and businesses whilst ensuring compliance with statutory and professional requirements. Basic concepts of assessable income (including capital gains) and allowable deductions are extended through different entity structures with a focus on application to real life scenarios. The subject includes an introduction to Fringe Benefits Tax as well as Goods and Services Tax. Aspects of International tax and tax avoidance issues are also explored.

Australian Tax Law and Practice

This subject covers a wide range of interesting legal topics and teaches students how to apply corporate legal theory to solve legal problems. These are essential skills for those wishing to work in both the fields of accounting and business management. The subject combines business and corporate law including the sources of law in Australia; how to read and understand legislation and case law; basic corporate structures; contract law principles; tort law; agency and consumer law in an Australian business law context.

Business and Corporate Law in Practice

This subject covers a range of interesting legal and financial planning regulatory topics. It teaches students how to analyse and solve legal problems and looks at the regulatory obligations that are imposed upon financial planners. It equips students with basic problem-solving techniques that are essential skills for those wishing to work in the field of financial planning.The subject combines topics that are necessary to build an understanding of how basic legal concepts impact and assist business organisations and individuals in business. This includes an examination of: the sources of law; how to read and understand legislation and case law; basic business; contract law principles, (including a consideration of terms in a contract and rights on breach of contract); liability in tort law; agency and consumer law; Australian corporate law and corporate governance principles.This subject also provides you with an introduction to the regulatory obligations of financial planners under the Corporations Act and other legislation and regulation that regulates providers of financial services and products. In financial planning, a great deal of time is spent on developing strategies so that individuals can accumulate wealth while they are alive. Much less time is spent on recognising the ongoing regulatory obligations.

Commercial Law and Financial Services Regulation

This subject was previously known as IRL140.This subject responds to the need for employment relations and human resource managers to effectively manage increasing diversity in organisations with workforces having a range of cultural, ethnic, gender, (dis)ability, age and other differences. The subject examines legislation and practice and the search for balance promoting equity and productivity.Students should not enrol in this subject if they have completed: 7041EHR Managing Diversity and Inclusion at Griffith University.

Managing Diversity and Inclusion

This subject introduces the Australian Legal System and then focuses on fundamental legal rules and regulations relating to Contract Law and Corporations Law. The subject covers basic principles of Contract Law with particular reference to business entities including the nature and legal consequences of contract, formation of contract, terms of a contract and capacity of parties; misleading conduct in contracts; discharge of contract and remedies for breach of contract. The subject will also examine business structures and provide an overview of basic Corporations Law including the formation of companies under Australian law and consequences of incorporation; company internal rules; management and contracting; corporate governance including membership, meetings and directors duties, members remedies, accounts and financial reporting and audit; and external administration of companies.
