The unit aims to provide students with a solid foundation of fundamental principles of company law. Topics include: the context of company law, the role and functions of the Australian Securities and Investments Commission, types of business structures, incorporation and registration, the doctrine of legal personality, corporate fund raising and share capital, legal rules relating to shares and dividends, the internal management of companies, powers and duties of various stakeholders, rights and remedies of members, company insolvency and deregistration.

Additional Information: The unit is fully accredited by both accounting professional bodies: the CPA and the ICA recognise BLW21 as an accredited unit for admission into their professional programs.

At the completion of this unit students will be able to:

  1. explain, analyse and apply basic legal concepts and principles relating to company law
  2. apply legal reasoning and problem solving methods to resolve problems relating to company law
  3. apply appropriate techniques to select, evaluate and use information from primary and secondary sources to make informed judgments about legal issues relating to company law
  4. write well-structured documents using appropriate language and styles that are relevant to company law.
