Description

This unit will enable a student to acquire an understanding of the legal principles relating to companies which are appropriate to lawyers and other business professionals. Topics covered in the unit include: administration and regulation of companies, types of business associations, registration of companies, internal rules of companies, corporate governance and directors' duties, corporate liability, promoters, membership, share capital, company meetings, dividends, debentures and loan capital, share capital transactions, corporate insolvency, fundraising and a brief introduction to the financial services regime.
